1. Introduction & Acceptance
- 1.1. These Terms and Conditions ("Terms") govern the provision of internet access services ("Services") and related hardware ("Kit") by DishNet Africa Ltd. ("DishNet," "we," "us," "our"), a company registered in South Sudan, acting as an authorized reseller of Starlink services provided by Space Exploration Technologies Corp. ("SpaceX").
- 1.2. By placing an order, making a payment, activating, or using the Services or Kit, you ("Customer," "you," "your") agree to be legally bound by these Terms, our Privacy Policy, and any applicable Fair Usage Policy.
- 1.3. These Terms supersede all prior agreements or understandings.
2. Service Description & Reseller Status
- 2.1. DishNet provides high-speed, low-latency satellite internet services in South Sudan utilizing the Starlink network infrastructure owned and operated by SpaceX.
- 2.2. DishNet is an official authorized reseller of Starlink services. This means:
- Facilitates the sale, activation, and support of Starlink Services and Kits within South Sudan.
- The network and core platform are operated by SpaceX.
- DishNet handles local billing, installation (if applicable), and first-level customer service.
- 2.3. DishNet makes no independent warranties regarding network performance. Service is subject to the Starlink Terms of Service.
3. Kit (Hardware)
- 3.1. Ownership: The Starlink Kit is sold to the Customer unless under a rental agreement.
- 3.2. Delivery & Risk: Risk transfers to Customer upon delivery. Import duties/taxes are Customer’s responsibility.
- 3.3. Installation: Customer must follow Starlink guidelines unless professional installation is purchased.
- 3.4. Warranty: Covered by manufacturer’s warranty. DishNet will facilitate claims per SpaceX’s policies.
- 3.5. Use & Restrictions: Kit is only for DishNet/Starlink access in South Sudan. Resale or modification is prohibited.
4. Service Plans, Payment & Fees
- 4.1. Plans: Residential, Business, Mobility — subject to change. Details on our website/order form.
- 4.2. Fees: Includes:
- Service fees
- Kit cost
- Installation & delivery (if applicable)
- Taxes and surcharges
- Late/reactivation/administrative fees
- 4.3. Payment Methods: Bank Transfer, Mobile Money, or Cash in SSP or agreed currency.
- 4.4. Billing Cycle: Monthly/annual advance billing from activation date.
- 4.5. Late Payments: Subject to penalty. May result in suspension/termination.
- 4.6. Price Changes: 30 days' notice applies. Continued use implies acceptance.
5. Service Activation, Use & Restrictions
- 5.1. Activation: Depends on full payment, installation, registration, and service availability.
- 5.2. Customer Responsibilities: Clear sky view, correct location info, secure Kit, lawful use.
- 5.3. Prohibited Uses: Illegal activity, IP infringement, malware, network abuse, resale.
- 5.4. Fair Usage: Usage may be managed under Fair Usage Policy.
6. Limitations of Service & Disclaimers
- 6.1. Limitations: Service affected by weather, obstructions, network congestion, etc.
- 6.2. Speed & Availability: Best-effort; no guarantees.
- 6.3. Disclaimer: Provided "AS IS". No warranties expressed or implied.
- 6.4. Third-Party Content: DishNet is not liable for third-party services accessed via the network.
7. Liability
- 7.1. Limitation: Liability limited to one month’s service fee.
- 7.2. Exclusions: No liability for indirect, incidental, or consequential damages.
- 7.3. Force Majeure: No liability for uncontrollable events (e.g., war, SpaceX failure, pandemic).
8. Data Privacy
- 8.1. Customer data processed per Privacy Policy and South Sudanese law.
- 8.2. Usage data also collected by SpaceX under their Privacy Policy.
9. Suspension & Termination
- 9.1. By DishNet: Immediate action for violations, non-payment, or legal requirements.
- 9.2. By Customer: Written notice (e.g., 30 days) with no refunds for partial months.
- 9.3. After Termination: All dues payable, access ends, data not retained, Kit remains with customer.
10. Governing Law & Dispute Resolution
- 10.1. Governed by laws of the Republic of South Sudan.
- 10.2. Disputes resolved first via amicable negotiation.
- 10.3. If unresolved, subject to courts of South Sudan [e.g., Juba].
11. Force Majeure
DishNet shall not be liable for delays or failures due to events beyond its control including but not limited to natural disasters, war, pandemics, regulatory actions, or SpaceX outages.
12. Changes to Terms
DishNet may revise these Terms. Updates take effect upon posting or customer notification. Continued use implies acceptance.
13. Assignment
DishNet may assign rights/obligations. Customers may not without written consent.
14. Entire Agreement
This document, along with referenced policies and order forms, constitutes the entire agreement between the parties.
